Section 1.1. Name. The name of this entity shall be LAKE REGION AMATEUR RADIOCLUB, hereinafter referred to as the Club.
Section 1.2. Purpose. The Club is formed for the purpose of gathering amateur radio operators. The Club may engage in other activities as may be necessary, incidental, or convenient in carrying out the purpose of the Club. These Bylaws shall govern the Club and its Members and shall facilitate the fulfillment of the purpose of the Club.
Section 2.1. Eligibility for Membership. Any current amateur radio operator is eligible for membership in the Club. Annual dues must be paid for full membership in the Club.
Section 2.2. Dues.
Individual Membership - Annual dues shall be $20.00 per calendar year. Payment of the annual dues will entitle the Individual Member to full membership privileges for one (1) calendar year Jan 1 to Dec 31.
Family Membership is available to family members living in the same household as the current Individual Member for an additional $10 per calendar year. This entitles all members of a family to have full membership privileges.
Life Membership is available to any Individual Member. Dues shall be $200.00 payable within a single calendar year. Payment of life membership dues will entitle the Member to full membership privileges for life.
There shall be no lifetime Family Membership available.
Dues amounts shown above may be changed by a majority vote of the Full Members at the Annual Meeting of the Club.
Dues paid in October, November, or December will provide full membership through December of the following year.
Section 2.3. Voting Rights. Payment of annual dues as shown in section 2.2 entitles Full Members to cast one (1) vote in matters requiring a vote.
Section 2.4. Contact Information. Full members must provide a current email address to the Treasurer who maintains the membership list. All club notices will be sent to Full Members via email.
Section 2.5. Termination of Membership. Membership in the Club is automatically terminated whenever a Full Member is in default of payment of dues. A Full Member may also be removed by a majority vote of the Full Members.
Section 2.6. Resignation. Any Full Member may resign by filing a written resignation with the Secretary of the Club. Such resignation shall not relieve the resigning Full Member of the obligation to pay any dues accrued and unpaid.
Section 3.1. Officers. The Club shall have the following officers:

Vice President
Secretary
Treasurer
Trustee
The offices of Secretary and Treasurer may be held by the same person. All officers must be Full Members of the club.
Section 3.2. Election of President, Vice President, Secretary, and Treasurer. Officers will be nominated by Full Members at the regular meeting prior to the Annual Meeting. The nominees must be Full Members of the Club. The officers shall be elected by a majority of the Full Members voting at the Annual Meeting.
Section 3.2.1. Trustee. The Trustee shall be appointed by the Executive Committee of the Club.
Section 3.3. Term of Office. The officers shall serve a one (1) calendar year term, with no limitations on future terms.
Section 3.4. Duties. The duties of the officers are as follows:
3.4.1. President. The President shall be the principal executive officer of the Club and shall preside over all meetings, represent the Club on public occasions, and make such committee appointments from the Members as shall be deemed advisable for the effective conduct of the work of the Club.
3.4.2. Vice President. The Vice President shall assist the President as the President requests and shall represent the Club on appropriate occasions. The Vice President shall also, in the absence or disability of the President, perform the duties and exercise the powers of the President of the Club.
3.4.3. Secretary. The Secretary shall keep attendance records, record the proceedings of all meetings, maintain adequate records of the Club activities, and conduct such official correspondence as shall be required.
3.4.4. Treasurer. The Treasurer shall collect, safeguard, disburse, and make periodic reports of all funds collected in the name of the Club. The Treasurer shall maintain the membership roster along with contact information.
3.4.5. Trustee. The Trustee shall be the custodian of the Club License as defined in FCC Rules, Part 97.
Section 5. Contracts. No officer shall have any power or authority to bind the Club in any contract, to pledge the Club’s credit, or to render the Club liable for any purpose or in any amount. Reimbursable club expenditures shall be treated in Section 7.1.
Section 3.6. Vacancies and Removal from Office. Any officer may be removed by a majority two-thirds (2/3) vote of the Full Members of the Club, excluding the vote of the officer to be removed. Upon the death, removal, resignation, or incapacity of an officer of the Club, a majority of the Full Members shall elect a successor.
Section 3.7. Management. The Club shall be managed by the officers, with powers consistent with these Bylaws.
Section 4.1. Place of Meetings. Meetings of the Full Members shall be held at any place the President, or a majority of the Full Members may from time to time select.
Section 4.2. Regular Meetings. Regular meetings of the Club shall be held monthly at a time designated by the President.
Section 4.3. Annual Meeting. An Annual Meeting shall be held in the month of December of each year, if possible. At such meeting, the Full Members shall elect the officers of the Club, receive reports on the affairs of the Club, and transact any other business that is within the powers of the Full Members. If an annual meeting has not been called and held within six (6) months after the time designated for such meeting, any Full Member may call the annual meeting.
Section 4.4. Special Meetings. Special meetings of the Full Members may be called by the President, by a majority of the officers of the Club, or by five twenty percent (20%) or more of the Full Members entitled to vote.
Section 4.5. Notice of Meetings. Notice of each meeting, stating the place, day, and time of the meeting, shall be given by the Club Officer authorized to call the meeting, to each Full Member entitled to vote. This notice shall be given at least five (5) days before the date named for the meeting along with the time and purpose of the meeting. A timely email notice to the membership shall constitute a notice of the meeting.
Section 4.6. Quorum. At any properly noticed meeting, at least 30% of the Full Members of the Club shall constitute a quorum.
Section 5.1. Voting. All issues other than changes to the Bylaws or Election of Officers shall be decided by a majority vote of a quorum at a meeting.
Section 5.2. Voting by Mail or Email. When officers are to be elected by Full Members or, any changes in the Bylaws are to be voted on, all Full Members are to be given an opportunity to vote regardless of attendance at the meeting. Full members may cast their vote by either mailing or emailing their ballot to the person designated to receive such ballots. In either case, the ballot must arrive at least 48 hours prior to the start of the meeting at which such vote is to take place.
Section 5.3. Counting the Ballots. A Full Member shall be designated by the Officers of the Club to be responsible for collecting and counting of ballots and, in cooperation with the Treasurer, ensure that only votes from Full Members are counted. A record of the vote shall be in the minutes of the meeting at which the election is held.
Section 6.1. Authorization to Establish Committees. The Club may establish standing committees as deemed necessary to pursue its stated purpose by a simple majority vote of the Full Members at a properly noticed meeting. Members of committees shall be appointed by the President. Ad hoc committees for specific purposes may be established at any time by the President.
Section 6.2.1 The Executive Committee shall consist of the elected officers plus the Trustee of the Club.
Section 6.2.2. The Technical committee will have at least three members with sufficient technical knowledge and/or experience to provide an informed opinion to the membership. The primary purpose is to maintain in working order the repeater systems owned and operated by the club. In addition, they may be called upon to make presentations or offer advice to club members as needed. The Trustee shall be a de facto member of the committee.
Section 7.1. Expenditures. Expenditures of funds amounting to over $50.00 in any month must be approved by a majority vote of a quorum present at a properly noticed meeting of the Members.
Section 7.2. Financial Reports. An annual financial report shall be prepared by the Treasurer and presented to the Members at the annual meeting.
Section 8.1. Procedure. These Bylaws may be amended by a two-thirds (⅔) majority vote of the membership at a properly noticed meeting of the Members of the Club Full members are entitled to vote as stated in Section 5.2
Section 8.2 Exceptions. Articles 2 and 6 state that modifications may be made by a majority vote. These are exempted from the approval specified in Section 8.1 and may be modified as specified in their individual sections.
